Ամեն անգամ արտասահմանյան մամուլում կարդալով որևէ հանհրահայտ ընկերության, օրինակ` Apple-ի կամ Facebook-ի, կամ էլ երկրի մասշտաբով գործող որևէ կազմակերպության բաժնետոմսերի շրջանառության, առք ու վաճառքի մասին, բնականոն հարց է առաջանում. ինչու՞ Հայաստանում բաց բաժնետիրական ընկերություններ գրեթե չկան: Ո՞րն է պատճառը, որ մեր բիզնեսմենները խուսափում են իրենց կազմակերպությունները բաց բաժնետիրական ընկերություններ դարձնելուց և մեծամասամբ դրանք գրանցում են որպես ՓԲԸ կամ ՍՊԸ: Առաջին պատճառը, որը մտքիդ է գալիս, որքան էլ ծեծված հնչի` ազգային մենթալիտետն է: Չէ որ ի տարբերություն փակի` բաց բաժնետիրական ընկերությունում բաժնետերերն իրավունք ունեն օտարել իրենց բաժնետոմսերը այլ ֆիզիկական և իրավաբանական անձանց` առանց բաժնետերի ընդհանուր ժողովի համաձայնության։

Այսինքն, ՓԲԸ-ի կամ ՍՊԸ-ի դեպքում սեփականատերը կարող է իրականացնել միանձնյա կառավարում և, կոշտ ասած, անել այն ամենն ինչ ինքն է հարկ համարում: Իսկ ահա բաց բաժնետիրականի դեպքում իրավիճակը փոխվում է: Ստիպված պետք է հաշվի նստես այլ բաժնետերերի, պատկերավոր ասած` ժողովրդի շարքերից ելած մեզ նման շարքային քաղաքացիների հետ, ովքեր գնել են ազատ շրջանառվող բաժնետոմսերը և այսուհետ ունեն ձայնի իրավունք ևս:

Վերջին տասնամյակում արտերկրում մեծ թափ է հավաքում տարբեր ընկերությունների կողմից կազմակերպաիրավական ձևի փոփոխությունը և բաց բաժնետիրական ընկերությունների վերակազմավորումը: Դրան հաջորդում է IPO-ի (initial public offering) գործընթացը, որը ենթադրում է ընկերության բաժնետոմսերի թողարկում և վաճառք ինչպես ինստիտուցիոնալ ներդրողներին, այնպես էլ` լայն հասարակությանը: Որպես կանոն, IPO իրականացրած կազմակերպությունը դառնում է ավելի թափանցիկ և հանրային, ինչը նպաստում է բիզնեսի հետագա զարգացմանը և միջազգային շուկաներ դուրս գալուն: Այդպես ընկերությունները դառնում են ավելի «ժողովրդական»:

IPO-ն բավականին ծավալուն գործընթաց է և բաղկացած է մի քանի փուլերից: Սկզբում անկախ մասնագիտացված կազմակերպությունների կողմից «մանրադիտակով» ուսումնասիրվում է ընկերության գործունեությունը, գնահատական տրվում բիզնեսին, այնուհետև սկսվում են նախապատրաստական աշխատանքները, այդ թվում` ազդագրի թողարկումը, որը պարունակում է ընկերության գործունեության բոլոր ուղղությունների վերաբերյալ սպառիչ և հավաստի տեղեկատվություն: Այսինքն հաջող IPO անելու համար ընկերությունը պետք է ունենա կայուն ֆինանսական վիճակ, զարգացման հեռանկարներ, վայելի հասարակության և ներդրողների վստահությունը: Գործընթացը եզրափակվում է բաժնետոմսերի ազատ վաճառքը: Ըստ էության բաժնետոմսն ապրանք է, որը կարելի է գնել և վաճառել արժեղթղերի շուկայում: Եթե տվյալ ընկերությունը բավականին հեղինակություն ունի և վայելում է ժողովրդի վստահությունը, ապա և բաժնետոմսերը, որպես կանոն, ունենում են բարձր իրացվելիություն: Այսինքն` բաժնետոմսը կարճ ժամանակամիջոցում կարել է վերածել դրամական միջոցի: Ընդ որում, բաժնետոմսերը ենթակա են գրանցման և դրանով իսկ ենթարկվում են պետական կարգավորման։
